Terms of Service

These Terms of Service ("Terms") govern your access to and use of Prodigent ("we", "us", or "our"), including our website at prodigent.ai and our application at app.prodigent.ai (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Prodigent is a product intelligence platform that helps teams capture decisions, context, and reasoning in connected workspaces. Features may include initiatives, events, decisions, snapshots, search, AI-assisted summaries, Slack integrations, and other tools we make available from time to time.

We may add, change, or remove features at any time. We do not guarantee that any particular feature will remain available, or that the Service will be uninterrupted or error-free.

2. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. If you use Prodigent on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes both you and that organization.

3. Accounts

To use most features, you must create an account with accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

You may sign in with email and password or through supported identity providers such as Google. When you use a third-party sign-in, you authorize us to receive basic profile information according to the permissions you grant.

4. Workspaces and team use

Prodigent is designed for collaboration. When you create or join a workspace, content you add may be visible to other members according to their roles and permissions. You are responsible for how you invite others and what you share within a workspace.

Workspace owners and administrators may manage membership, billing (where applicable), and access to workspace content. If your access to a workspace is removed, you may lose access to content stored in that workspace.

5. Subscriptions and billing

Prodigent offers free and paid plans. Paid subscriptions are billed in advance on a recurring basis (for example, monthly) through Stripe. By subscribing, you authorize us and our payment processor to charge your payment method for the applicable fees, taxes, and renewals until you cancel.

Prices and plan features are described on our pricing page and may change. If we change pricing for a paid plan, we will provide notice before the change applies to your next billing cycle. Continued use after a price change constitutes acceptance of the new price.

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period unless otherwise stated. Except where required by law, fees are non-refundable and we do not provide prorated refunds for partial billing periods.

6. Your content

You retain ownership of the content you submit to Prodigent ("Your Content"), including product decisions, notes, snapshots, and other materials you or your team create. You grant us a limited license to host, store, process, display, and transmit Your Content solely to operate, provide, maintain, and improve the Service — including generating AI-assisted outputs you request.

You represent that you have the rights necessary to submit Your Content and to grant the license above, and that Your Content does not violate these Terms or applicable law.

7. Integrations

If you connect third-party services such as Slack, you authorize Prodigent to access and use data from those services as needed to provide the integration. Your use of third-party services is also subject to their own terms and policies. We are not responsible for third-party services and do not control how they handle your data.

When you send content from Slack into Prodigent, you are responsible for ensuring you have the right to import and share that content with your workspace members.

8. AI features

Certain features use artificial intelligence to generate summaries, snapshots, answers, or other outputs based on context you provide. AI-generated content may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing outputs before relying on them for business, legal, or product decisions.

We do not use your workspace content to train general-purpose AI models. For more on how we handle data, see our Privacy Policy.

9. Acceptable use

You agree not to:

  • Use the Service in violation of any law or third-party rights
  • Upload malware, spam, or content that is unlawful, harmful, or abusive
  • Attempt to gain unauthorized access to the Service or other accounts
  • Probe, scan, or test the vulnerability of our systems without permission
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer or copy the Service except where permitted by law
  • Resell or sublicense the Service without our written consent
  • Use the Service to build a competing product using unauthorized access to our systems

We may investigate violations and suspend or terminate access where appropriate.

10. Our intellectual property

Prodigent and its branding, software, documentation, and other materials (excluding Your Content) are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding except as needed to use the Service in the ordinary course.

11. Feedback

If you provide suggestions, ideas, or feedback about Prodigent, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIGENT AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless Prodigent and its founders, officers, employees, and suppliers from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Suspension and termination

You may stop using the Service at any time and may delete your account from your profile settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.

16. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Service, you also agree to our Privacy Policy.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes may also be communicated through the Service or by email where appropriate. Continued use after changes become effective constitutes acceptance of the updated Terms.

18. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

19. General

These Terms, together with our Privacy Policy and any plan-specific terms we present at checkout, constitute the entire agreement between you and Prodigent regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
